Terms and Conditions of Sale
- Definitions
- "Seller" refers to KULT kefir.
- "Buyer" refers to the entity purchasing goods from the Seller.
- "Goods" refers to the water kefir soft drinks provided by the Seller.
- Payment Terms
- Payment is due within 30 days from the date of the invoice.
- Late payments will incur interest at a rate of 1.5% per month from the due date until full payment is received.
- Delivery
- Delivery dates are estimates only and the Seller shall not be liable for any delays.
- The Buyer is responsible for all delivery costs unless otherwise agreed in writing.
- Transfer of Risk
- Risk of loss or damage to the Goods passes to the Buyer upon delivery.
- The Buyer should inspect the Goods immediately upon receipt and notify the Seller of any discrepancies within 30 days.
- Retention of Title
- Title to the Goods remains with the Seller until full payment is received.
- If the Buyer fails to make payment, the Seller reserves the right to reclaim the Goods.
- Returns and Refunds
- Goods may be returned within 30 days of delivery if they are defective or not as described.
- Refunds will be issued for returned Goods after inspection and approval by the Seller.
- Warranty
- The Seller warrants that the Goods will conform to the specifications provided.
- Any claims for defects must be made within 30 days of delivery.
- Limitation of Liability
- The Seller's liability for any claim arising out of the sale of the Goods is limited to the price paid by the Buyer.
- The Seller is not liable for any indirect, incidental, or consequential damages.
- Force Majeure
- The Seller is not liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, war, or labor disputes.
- Governing Law and Jurisdiction
- These Terms and Conditions are governed by and construed in accordance with the laws of Belgium.
- Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Belgium.
- Severability
- If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Amendments
- The Seller reserves the right to amend these Terms and Conditions at any time. Any amendments will be communicated to the Buyer in writing.
- Retention of Stock in Case of Bankruptcy
- In the event of the Buyer's bankruptcy or insolvency, the Seller retains the right to reclaim any unpaid Goods.
